Digital Jockey operates through legally registered entities in India and the United Arab Emirates. The applicable contracting entity shall be specified in the signed proposal, invoice, or agreement.

2. SCOPE OF SERVICES
Services include appointment setting, lead generation, cold calling, sales outsourcing, CRM implementation, automation setup, GSE (Guaranteed Sales Engine) architecture, SLA-based escalation systems, marketing outreach, and business consultancy. Exact scope is defined in signed agreements or SOW.

3. NO GUARANTEE OF BUSINESS RESULTS
Unless explicitly stated in writing, Digital Jockey does not guarantee revenue, sales volume, ROI, or deal closures. Business results depend on market conditions, client responsiveness, and operational cooperation.

4. CLIENT RESPONSIBILITIES
Clients must provide accurate information, timely approvals, CRM access, and ensure compliance with applicable telemarketing and marketing laws. Delays or non-cooperation may affect results.

5. PAYMENT TERMS
Fees are payable as per invoice terms. Advance payments are non-refundable unless agreed in writing. Late payments may result in service suspension. Applicable taxes (GST, VAT) are additional unless stated otherwise.

6. INTELLECTUAL PROPERTY
All proprietary systems, frameworks, automation workflows, scripts, dashboards, and GSE models remain exclusive intellectual property of Digital Jockey. Clients receive limited internal-use rights only.

7. CONFIDENTIALITY
Both parties agree to maintain confidentiality of trade secrets, pricing, strategies, and proprietary data. Confidentiality obligations survive termination.

8. DATA PROTECTION
Personal data is processed in compliance with GDPR, CCPA/CPRA, UAE PDPL, and India DPDP Act 2023. When acting as Data Processor, Digital Jockey processes data strictly under client instructions.

9. LIMITATION OF LIABILITY
Digital Jockey shall not be liable for indirect or consequential damages. Total liability shall not exceed fees paid in the preceding three months.

Either party may terminate services per contractual notice terms. Outstanding payments remain due upon termination.

The Company is not liable for delays caused by events beyond reasonable control including regulatory changes, internet outages, natural disasters, or telecom failures.

12. NON-SOLICITATION
Clients agree not to hire or solicit Digital Jockey employees during engagement and for 12 months thereafter. Breach may result in a placement fee equal to six months of compensation.

Clients agree to indemnify Digital Jockey against claims arising from misleading product claims, regulatory violations, or misuse of provided data.

14. GOVERNING LAW
India entity contracts are governed by Indian law and arbitration under the Indian Arbitration & Conciliation Act. UAE entity contracts are governed by UAE law and applicable courts.

15. AMENDMENTS
Digital Jockey may update these Terms periodically. Continued engagement constitutes acceptance of revised Terms.
